The governance model

It is structured to follow the applicable legal rules and guidelines of the Portuguese Securities Market Commission (CMVM) and the Portuguese Institute of Corporate Governance (IPCG), as well as the Principles of Corporate Governance of the Organisation for Economic Co-operation and Development (OECD).

The management of Efacec

The management of Efacec is carried out through its holding company Efacec Power Solutions, SGPS, S.A. (EPS), which has adopted the governance model set out in article 278(a) of the Commercial Companies Code (CCC), known as the classic or monist model. The model adopted by EPS promotes the segregation of powers between the various governing bodies to guarantee adequate control and supervision of management activities.

Under the terms of Article 278(1)(a) and (3) and Article 413(1)(b) of the CCC and Article 10 of the EPS articles of association, the company’s governing bodies are the General Meeting, the Board of Directors (which is responsible for managing the company), the Supervisory Board and the Statutory Auditor (which is responsible for supervising the company).
